These Terms of Service ("Terms") govern your use of TradeReign, a trading discipline enforcement application operated by Chris Kohl ("we," "us," or "our") at trade-reign.com. By creating an account or using TradeReign, you agree to be bound by these Terms.
Please read these Terms carefully before using the service. If you do not agree to these Terms, do not use TradeReign.
By checking the acceptance boxes and selecting Create Account or Continue with Google, you provide your electronic signature and affirmatively agree to these Terms and the separate trading-risk disclosure. Electronic records of your acceptance may be retained, including the applicable version, date, method, IP address, and user-agent information.

Public marketing and educational materials may include additional disclosures where required based on the content shown or the platform referenced.
References to NinjaTrader or Tradovate describe compatibility and workflow context only and do not imply endorsement, recommendation, or approval.
1. Description of Service
TradeReign is a voluntary trading discipline enforcement tool that connects to your Tradovate account via their API. It monitors your trading activity in real time and automatically enforces rules that you configure, including but not limited to position flattening, trade limits, and order management.
TradeReign is a commitment device — it enforces rules you set for yourself. It is not a trading platform, broker, financial advisor, or investment manager.
TradeReign is not designed to select or initiate discretionary directional entry trades for you. Depending on the features and rules you enable, it may send instructions intended to close or flatten positions, cancel, restore, modify, or submit protective orders, and perform other enforcement actions. A software defect or incorrect input could nevertheless cause an order the user did not authorize or intend, including an unintended, duplicate, delayed, wrong-side, wrong-quantity, wrong-account, or otherwise incorrect order or action.
2. Not Financial Advice
TradeReign does not provide financial advice, trading recommendations, or investment guidance of any kind. Nothing in this application should be construed as a recommendation to buy, sell, or hold any financial instrument.
Trading futures involves substantial risk of loss and is not suitable for all investors. You are solely responsible for your own trading decisions. Past performance is not indicative of future results. You should consult a qualified financial advisor before making trading decisions.
3. Eligibility
You must be at least 18 years old to use TradeReign. By using the service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
You must have a valid Tradovate account and comply with Tradovate's own terms of service. TradeReign is not affiliated with or endorsed by Tradovate LLC or NinjaTrader LLC.
4. Beta Service
TradeReign is currently offered as a paid beta service and is under active development. Beta software is experimental and may contain known or unknown errors, defects, incomplete features, inaccurate calculations, and unexpected behavior. During the beta period:
- New users may receive a 7-day trial before monthly billing begins
- Features may change, be added, or be removed without notice
- The service may experience downtime or interruptions
- Broker data, positions, orders, fills, balances, P&L, and rule counts may be delayed, incomplete, duplicated, or inaccurate
- A rule may fail to trigger, trigger late, trigger incorrectly, or take an unintended enforcement action
- Orders may fail, be rejected, be delayed, be duplicated, be canceled, or fill at an unexpected price
- We may terminate the beta at any time
After the trial period, continued access to TradeReign requires a paid subscription. The core subscription price is $29/month for new users. Users whose TradeReign accounts existed before that price change retain their $19/month core price. Accounts separately grandfathered into lifetime free access do not require a core subscription. Optional additional monitoring workers are billed separately from the core plan.
We strongly recommend using only a demo or simulation account during beta. If you choose to connect or trade a live, funded, evaluation, prop-firm, or other account involving real money or economic consequences, you do so voluntarily and entirely at your own risk. The end of the beta label will not mean that TradeReign is error-free, uninterrupted, or safe from all software, network, broker, exchange, or third-party failures.
5. Manual Control and Your Duty to Monitor
TradeReign does not prevent you from manually closing a position through your broker or trading platform. You retain the ability and responsibility to close trades at any time. You must maintain direct access to your broker, monitor your positions and orders, and intervene immediately whenever you believe a position, order, connection, rule, or account condition is unsafe or incorrect.
TradeReign is a supplemental discipline tool, not a substitute for your own supervision, broker controls, protective orders, risk management, or ability to close positions. You must verify every rule and configuration in a demo environment before relying on it and must independently confirm that any requested cancellation, modification, or flatten action was accepted and completed by the broker.
6. Your Account, Rules, and Configuration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account.
You are responsible for providing accurate Tradovate credentials. We are not responsible for any trading activity that results from incorrect credentials or misconfigured rules.
You are solely responsible for selecting the correct environment and account, configuring and confirming rules, understanding commitment or lock modes, verifying time zones and trading windows, monitoring rule status, and confirming that TradeReign is connected and actively enforcing. A rule displayed in the interface is not a guarantee that it will operate exactly as expected in every market or technical condition.
7. Third-Party Services and Market Conditions
TradeReign depends on services and information outside our control, including Tradovate, NinjaTrader, brokers, prop firms, exchanges, market data providers, hosting providers, internet service providers, payment processors, authentication providers, and device or browser software. We do not control and are not responsible for their availability, accuracy, latency, rate limits, outages, maintenance, order handling, fills, slippage, rejected requests, changed APIs, account restrictions, or other acts or omissions.
Fast markets, gaps, halts, thin liquidity, exchange limits, partial fills, price movement, and broker risk controls may prevent or delay an intended action or produce a result different from that shown or requested. TradeReign makes no guarantee concerning execution price, execution time, fill quantity, or whether an order will be accepted or filled.
TradeReign does not provide, promote, endorse, configure, or support trade copying or trade mirroring between accounts. NinjaTrader support has informed TradeReign that copy-trading software is not supported under its policy and that products connected through its API must not replicate or mirror trades across accounts. TradeReign does not control third-party software independently selected or operated by users. You are solely responsible for determining whether any third-party software complies with the rules, agreements, and policies of your broker, trading platform, prop firm, and other account providers.
8. Acceptable Use
You agree not to:
- Use TradeReign for any unlawful purpose
- Attempt to reverse engineer, decompile, or extract the source code of TradeReign
- Use TradeReign in any way that could damage, disable, or impair the service
- Share your account with other users
- Use TradeReign to circumvent any rules or restrictions imposed by your broker or prop firm
9. Payments and Billing
Paid subscriptions and trials are processed through Stripe. By starting a subscription or trial, you authorize recurring monthly charges using your selected payment method unless you cancel before the next billing date.
- A trial may automatically convert to a paid monthly subscription unless canceled before it ends
- You may cancel your subscription at any time
- Cancellations take effect at the end of the current billing period
- Fees are nonrefundable except where required by law, and we do not provide prorated refunds for partial periods
- We may change pricing upon reasonable advance notice
10. Disclaimer of Warranties
To the maximum extent permitted by law, TradeReign is provided "as is" and "as available," with all faults and without warranties of any kind, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, reliability, availability, and error-free or uninterrupted operation.
We do not warrant that TradeReign will detect every trade, position, fill, order, stop movement, loss, profit, account event, or rule violation; that a rule will trigger, warn, block, cancel, modify, or flatten at the intended time; that information displayed will match broker records; or that any defect will be corrected. No statement, support response, documentation, demonstration, or marketing material creates a warranty not expressly stated in these Terms.
11. Assumption of Risk and Release
You knowingly and voluntarily assume all risks arising from futures trading and from using, misusing, relying on, or being unable to use TradeReign. These risks include trading loss, loss beyond deposited funds, missed trades, missed opportunities, slippage, commissions, fees, failed evaluations, lost prop-firm accounts, liquidation, rejected or duplicate orders, an order or position you did not authorize or intend, a wrong-side, wrong-quantity, or wrong-account order, unintended position closure, failure to close a position, and losses caused or increased by software bugs, inaccurate data, latency, outages, or enforcement behavior.
To the maximum extent permitted by law, you expressly release and discharge Chris Kohl, TradeReign, and their affiliates, contractors, service providers, licensors, officers, employees, agents, successors, and assigns from claims, demands, losses, and liabilities arising from or related to your use of TradeReign, including claims resulting from their own ordinary negligence, fault, errors, or omissions. This release does not apply to gross negligence, willful misconduct, fraud, or any liability that applicable law does not permit to be released.
You acknowledge that access to TradeReign is valid consideration for this allocation of risk and that you may decline these Terms by not creating an account or by discontinuing use.
12. Limitation of Liability
To the maximum extent permitted by law, the released parties will not be liable for any trading loss, loss of funds, loss of profits or revenue, failed evaluation, loss of account access, loss of data, missed opportunity, substitute-service cost, or any indirect, incidental, special, consequential, exemplary, or punitive damages, whether based in contract, tort (including ordinary negligence), strict liability, statute, or any other theory, even if advised that such damages were possible.
To the maximum extent permitted by law, the aggregate liability of Chris Kohl, TradeReign, and all other released parties for all claims arising from or related to the service or these Terms will not exceed the total fees you paid to TradeReign during the three months immediately preceding the event giving rise to the first claim. The limitations in Sections 11 and 12 are a fundamental part of the bargain and apply even if a remedy fails of its essential purpose.
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the fullest extent permitted by law, and nothing in these Terms waives rights that cannot lawfully be waived.
13. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Chris Kohl, TradeReign, and their affiliates, contractors, service providers, licensors, officers, employees, agents, successors, and assigns from third-party claims, damages, judgments, liabilities, penalties, costs, and reasonable attorneys' fees arising out of or related to your trading activity, account or credential use, rule configuration, violation of these Terms, violation of law, infringement of another person's rights, or violation of broker, exchange, or prop-firm requirements. This obligation does not require you to indemnify a party for liability that applicable law prohibits shifting to you.
14. Availability, Changes, and Force Majeure
We may modify, suspend, restrict, or discontinue any part of TradeReign at any time. We do not guarantee continuous availability. Rule enforcement may be unavailable when the application, worker, broker connection, API, WebSocket, internet connection, hosting service, exchange, or third-party system is unavailable, delayed, rate-limited, or malfunctioning.
We are not responsible for delay or failure caused by events beyond our reasonable control, including acts of God, severe weather, power or internet failure, cyberattack, labor dispute, war, civil disorder, government action, exchange or broker interruption, market emergency, or failure of a supplier or service provider.
15. Suspension and Termination
You may delete your account at any time. We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct that we determine to be harmful to other users or the service.
Upon termination, your right to use TradeReign ceases immediately and your data will be deleted in accordance with our Privacy Policy.
Provisions that by their nature should survive termination—including risk allocation, warranty disclaimers, releases, liability limitations, indemnification, dispute resolution, and payment obligations—will survive.
16. Informal Resolution, Arbitration, and Class-Action Waiver
Please read this section carefully. Except for the limited exceptions below, disputes will be resolved by binding individual arbitration, not in court. You and TradeReign waive the right to a jury trial and to participate in a class, collective, consolidated, or representative action.
Before filing a claim, the complaining party must send written notice to [email protected] describing the dispute and requested relief and allow 30 days for informal resolution. If unresolved, any dispute arising from or relating to these Terms or TradeReign will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this section. Arbitration may occur by video, telephone, documents, or in Jefferson County, Missouri, as the arbitrator permits.
Either party may bring an eligible individual claim in small-claims court, and either party may seek temporary or emergency injunctive relief in court to protect accounts, credentials, confidential information, or intellectual property. The arbitrator may award the same individual remedies a court could award but may not combine claims or preside over a class or representative proceeding.
You may opt out of this arbitration section by emailing [email protected] within 30 days after first accepting these Terms. Your notice must include your full name, TradeReign account email, and an unambiguous statement that you opt out of arbitration. Opting out will not affect the remaining Terms or your access to the service.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 16. For a dispute not subject to arbitration, you and TradeReign consent to the exclusive jurisdiction and venue of the state courts located in Jefferson County, Missouri, and the federal courts having jurisdiction over Jefferson County, Missouri.
18. Changes and Electronic Communications
We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page with a new effective date or by another reasonable method. We may require you to affirmatively accept a revised version before continuing to use TradeReign. Unless additional acceptance is required, continued use after the effective date constitutes acceptance of the updated Terms.
You consent to receive agreements, notices, disclosures, receipts, and other communications electronically. You are responsible for keeping your email address current and may retain copies of these Terms for your records.
19. Miscellaneous
These Terms, the Privacy Policy, and any incorporated disclosures constitute the entire agreement concerning TradeReign and supersede prior discussions on that subject. If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect. If part of the class-action waiver is unenforceable as to a particular claim, that claim will proceed in court after all arbitrable claims are completed.
Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a reorganization, sale, transfer, or operation of the service. Headings are for convenience only. The words "including" and "include" mean "including without limitation."
